COUNTY OF FULTON RESOLUTION NO. R25-03-732
A RESOLUTION BY THE CITY COUNCIL OF THE CITY OF MILTON
TO DISPOSE OF CERTAIN SURPLUS RIGHT-OF-WAY
WHEREAS , pursuant to the Official Code of Georgia Annotated ("O.C.G.A .") § 32-7-3 ,
whenever any property has been acquired in any manner by a municipality for public road purposes
and thereafter the municipality determines that all or part of the property is no longer ne eded for
s uch purposes , the municipality is authorized to dispose of such property in accordance with
O.C.G.A. § 32-7-4 ; and
WHEREAS, O.C.G.A. § 32-7-4 provides , in pertinent part, that in disposing of property
as authorized in O.C.G.A . § 32-7-3 , a municipality shall notify, in writing, the owner of such
property at the time the C ity acquired it , or the current owner holding title through such original
owner, of its right to reacquire the property from the City ; and
WHEREAS , on or about January 3, 2019 , the City acquired, by donation , a total of 0.520
acres of right-of-way area, 3 ,898.75 square feet of permanent construction easement area, and
15 ,731.02 square feet of temporary construction easement area , all as necessary for its Crabapple
Connector Project (No. 18-PW08) (the "Project") from the owner of Project Parcel #1 (TPN 22
416111340297), Strawberry Fields Milton , LLC , a Georgia limited liability company (see Right-
of-Way Deed and Easements recorded at DB 59629 , PG 20 , Fulton County Superior Court Clerk
records); and
WHEREAS, a copy of the Right-of-Way Deed and Easements referenced above and a copy
of the Closing Statement regarding the donation transaction referenced above are attached hereto
marked Exhibit A and Exh ibit B, respectively ; and
WHEREAS , on or about December 9, 2019 , Strawberry Fields Milton , LLC , conveyed its
interest in the remaining real property (TPN 22 4 l 6111340297) to Market District Crabapple ,
LLC , a Georgia limited liability company (see Limited Warranty Deed recorded at DB 61041 , PG
360, F ulton County Superior Court Clerk records); and
WHEREAS , on or about November 5, 2021 , Market District Crabapple, LLC , conveyed
its interest in the "Market District Crabapple Common Area"-portion of the remaining real
property (TPN 22 416111340297) to Market District Crabapple Condominium Association , Inc.,
a Georgia non-profit corporation (see Limited Warranty Deed recorded at DB 64824, PG 482,
Fulton County Superior Court Clerk records); and
WHEREAS , on or about November 30 , 2022 , the City entered into a Private Development
Agreement with Market District Crabapple , LLC ("Market District") (a copy of which is attached
hereto marked Exhibit C) to document the work Market District completed regarding the Project
in upgrading Crabapp le NE Connector Road by relocating the waterline and dedicating Heritage
Walk Right of Way ("Market District Improvements") at costs to Market District of $373 ,400.00 ,
and wherein the City agreed to allow Road Impact Fee Credits to Market District in the same
amount, all in accordance with City Code Sec. 25-1 0(a); and
WHEREAS , the right-of-way donated as a part of the Market District Improvements was
valued at $500 ,000 per acre (i.e., 0.520 acre valued at $260 ,000); and
WHEREAS , the City has determined that two areas totaling approximately 1,241.98 SF
(0.0285 acre) within the right-of-way area acquired for the Project at Project Parcel #1 are surplus
areas (the "Surplus ROW") which may be released back to the original owner or the current owner
holding title through the original owner; and
WHEREAS, the legal description of the Surplus ROW is included at Exhibit D hereto and
referenced as "Parcel l " containing 522 .6831 square feet (0.01199 ac.) more or less , and "Parcel
2" containing 719.3016 square feet (0.01651 ac .) more or less; and
WHEREAS, the Surplus ROW is depicted on Exhibit E hereto and referenced as "ROW
Abandonment Parcel 1" (522.68 S.F.) and "ROW Abandonment Parcel 2" (719.30 S.F.); and
WHEREAS , based on the information above , the Surplus ROW (0 .0285 acre) is valued at
$14 ,250 ; and
WHEREAS, in accordance with O.C.G.A. § 32-7-4, the City notified Market District
Crabapple Condominium Association , [nc ., regarding its right to reacquire the Surplus ROW; and
WHEREAS , Market District Condominium Association , Inc., has agreed to receive the
Surplus ROW back from the City; and
WHEREAS, the City and Market District Crabapple Condominium Association , Inc .,
agree that as the total right-of-way for the Project from Project Parcel #1 was donated to the City,
the Surplus ROW will be released by the City at no cost to the Grantee ; but, the City will recoup
a proportionate value in Road Impact Fee Credits as initially issued under the Private Development
Agreement referenced above.
NOW, THEREFORE, BE IT RESOLVED by the City Council , and it is hereby resolved
by the authority of the same , as follows:
1. The above recitals are hereby incorporated as if fully stated herein.
2 . The Surplus ROW as described in Exhibit D and as depicted at Exhibit Eis no longer
needed for the Project, is surplus right-of-way , and shall be released back to the
current owner, Market District Crabapple Condominium Association , Inc., a
Georgia non-profit corporation , and reincorporated into TPN 22 416111340297.
3. The Road Impact Fee Credit account maintained in the name of Market District
Crabapple , LLC, as referenced in Section 2 of the Private Development Agreement,

shall be reduced by an amount equal to the value of the Surplus ROW being released
which , as stated above equals $14 ,250.
4. The Mayor is authorized to execute a quitclaim deed to release the City 's interest in
the Surplus ROW in the form attached hereto marked Exhibit F.
5. The City shall deliver a copy of this Resolution to the Grantee of the quitclaim deed
concurrent with its presentation and delivery of the original quitclaim deed and the
Grantee 's acceptance and recording of such deed shall evidence its
acknowledgement and acceptance of the terms and conditions stated herein.

through wh ich the Crabapple Connector a/k/a Charlotte Drive Extension , known as PROJECT NO . 18-
PW08 (the "Project"), has been laid oul by the City of Milton be ing more particularly described in a map and
drawing of said road in the 'office of the City of Mi lton , 2006 Heritage Walk , Milton , Georgia , to which
reference is hereby made . •
NOW , THEREFORE , in consideration of the benefit to said property by the construction and maintenance
of said road, and in consideration of ONE DOLLAR ($1 .00), in hand paid, the receipt whereof is hereby
acknowledged, Granter does hereby grant , sell and convey to sa id City of Milton, and their successors in
office so much land as to make a right of way for said road as surveyed , being mo re particularly described
as follows :
All that tract or parcel of land lying and be ing in Land Lot 1134 of the 2nd Land District , 2nd Section of Fulton
County, Georg ia, and being more particularly described on Exhib it "A" attached hereto and made a part
hereof by this reference.
Said right of way is hereby conveyed , consisting of 0 .520 acres , more or less , as shown on the plat of the
property prepared by the City of Milton , dated May 22 , 2008; sheets 3 , 4 , 5 and 11, no revisions ; said plat
attached hereto and made a part of this deed as Exhibit "B".
Also granted is 3,898 .75 square feet of permanent construction easement for the purpose of executing and
maintaining certain construction over and upon my land abutting on and adjacent to the right of way in such
manner as The City of Milton may deem proper to su pport or accommodate the improvement of said road ,
including the right to slope the adjacent ground to tie in with the roadway or sidewalk elevations and to
construct any requ ired slopes within the easement areas shown on the attached plats .
Also-,granted is 15,731 .02 square feet of temporary construction easement for the purpose of executing
certain construction over and upon my land abutt ing on and adjacent to the right of way in such manner as
The City .of Milton may deem proper to support or accommodate the improvement of said road , including
·the right to slope the adjacent ground to tie in with the roadway or sidewalk elevat ions and to construct any
requ ired slopes within the easement areas shown on the attached plats . Any slopes constructed w ill remain

in place and the City of Milton will cease to maintain said slopes upon expiration of said easement, which
shall occur upon completion and acceptance of the Project.
TO HAVE AND TO HOLD the said conveyed premises in fee simple and any rights Grantor has or may
have in and to existing public rights of way are hereby quitclaimed and conveyed unto the City of Milton .
Granter hereby warrants that Grantor has the right to sell and convey said land and bind himself, his heirs ,
executors and administrators forever to defend by virtue of these presents .

by relocating the waterline _and dedicating Heritage Walk Right of Way ("Market District

WIJE.REA.S, the desires to allow ihe City to benefit from the system improvements
provided by the Market District Improvements; and
